These Terms of Service ("Terms") govern your access to and use of ReplyEngine, operated by LUMETECH (doing business as ReplyEngine), a business registered in Ontario, Canada ("we," "us," or "our"). By accessing or using ReplyEngine, you agree to be bound by these Terms. If you do not agree, do not use our services.
ReplyEngine is an AI-powered social media management platform that automatically responds to direct messages and comments on Instagram, Facebook, and LinkedIn on behalf of small businesses. The service uses artificial intelligence to help business owners engage with customers 24/7.
You must be at least 18 years of age to use ReplyEngine. By using our services, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement. ReplyEngine is intended for business use only.
To use ReplyEngine, you must create an account and provide accurate, complete information. You are responsible for:

ReplyEngine allows you to connect your Instagram, Facebook, and LinkedIn accounts. By connecting these accounts, you:
ReplyEngine is not affiliated with Meta (Instagram/Facebook) or LinkedIn. Use of these platforms is subject to their respective terms of service.
ReplyEngine offers the following subscription plans:
All subscriptions are billed monthly and automatically renew unless cancelled. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All payments are processed securely by Stripe. We do not store your payment card information.
New users may be eligible for a 14-day free trial. At the end of the trial period, your account will be automatically charged according to your chosen subscription plan unless you cancel before the trial ends. You may cancel at any time through your account settings.
You may cancel your subscription at any time by logging into your account and accessing the billing settings. Cancellation takes effect at the end of the current billing period — you will retain access to ReplyEngine until that date.
Refunds may be requested within 7 days of your first charge by contacting us at hello@replyengine.ca. After 7 days, all charges are final. We do not provide prorated refunds for partial months.
You agree to use ReplyEngine only for lawful purposes. You must not use ReplyEngine to:

ReplyEngine uses artificial intelligence to generate reply suggestions on your behalf. You acknowledge and agree that:
ReplyEngine may send SMS text messages to notify you of high-intent customer interactions (hot lead alerts) on your connected social media accounts. By providing your phone number, you consent to receive these transactional SMS messages. You may opt out at any time by replying STOP to any message or by disabling SMS alerts in your account settings.
ReplyEngine and all associated content, features, and functionality are owned by LUMETECH and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written permission.
You retain ownership of all content you provide to ReplyEngine, including your business information and brand voice settings. By using our service, you grant us a limited license to use this content solely for the purpose of providing the service to you.
Your use of ReplyEngine is also governed by our Privacy Policy, available at replyengine.ca/privacy. By using ReplyEngine, you consent to the collection and use of your information as described in our Privacy Policy.
ReplyEngine is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from the use of our service, including increased sales, bookings, or customer engagement.
To the maximum extent permitted by applicable law, LUMETECH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of ReplyEngine. Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the total amount you paid to us in the six (6) months preceding the claim.
You agree to indemnify and hold harmless LUMETECH and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of ReplyEngine, your violation of these Terms, or your violation of any third party's rights.
In the event of a dispute, you agree to first contact us at hello@replyengine.ca and attempt to resolve the matter informally. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in Toronto, Ontario, Canada, conducted in English by a single arbitrator in accordance with applicable Canadian arbitration rules. The arbitrator's decision shall be final and binding.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of ReplyEngine after the effective date of the updated Terms constitutes your acceptance of the changes.
We reserve the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use ReplyEngine will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.
